Senior Associate – Corporate, Finance and M&A

Performing a leading role within the Corporate, Finance and M&A team you will be entrusted with advising, structuring and handling a wide spectrum of complex corporate transactions which will include legal due diligence exercises, corporate acquisitions, mergers, financing transactions (leveraged and unleveraged), capital market issues, corporate governance and the licensing of financial operators, working very closely with the partners responsible for the clients or tasks at hand. In the performance of your professional duties, you will be exposed to a wide variety of businesses undertakings, both local and foreign-controlled, listed and unlisted.

Job duties and responsibilities:

  • Advising on a wide spectrum of corporate issues
  • Advising on appropriate corporate governance structures and on-going governance obligations and best practices
  • Assisting with the implementation of corporate structuring and re-structuring exercises
  • Contributing to legal due diligence exercises
  • Drafting and reviewing of corporate documents, agreements and company announcements
  • Drafting and reviewing of financing agreements
  • Co-ordinating or monitoring the satisfaction of conditions precedent
  • Leading and managing the completion of transactions
  • Organising engagements and workflows
  • Leading and co-ordinating business development initiatives
  • Managing client relationships
  • Developing and contributing towards the development of the organisation’s knowledge base, by giving on-the job training, participating in academic initiatives and publishing articles and analyses
  • Developing and contributing towards the organisation’s traineeship programme through mentoring and training initiatives

Qualities:

  • Excellent written and verbal communication in both English and Maltese
  • Command of any other languages would be considered an asset
  • Collaborative

Qualifications and Experience:

  • Holder of a warrant to practice as an Advocate
  • A post-graduate degree in a related area would be considered an asset
  • More than 4 years’ experience
